On November 21, 2023, we received a deficiency letter from the Listing Qualifications Department (the “Staff”) of Nasdaq notifying us that we are not in compliance with the minimum stockholders’ equity requirement for continued listing set forth in Nasdaq Listing Rule 5450(b)(1)(A). Nasdaq Listing Rule 5450(b)(1)(A) requires listed companies to maintain stockholders’ equity of at least $10,000,000 (the “Stockholders’ Equity Requirement”). The Staff further indicated that, as of the date of the Notice, we did not comply with certain requirements under the alternative standards set forth in Nasdaq Listing Rules 5450(b)(2) and 5450(b)(3) for continued listing on the Nasdaq Global Select Market. Therefore, in accordance with Nasdaq Rules, we had 45 calendar days, or until January 5, 2024, to submit a plan to regain compliance (the “Compliance Plan”), which we submitted on January 5, 2024. If the Compliance Plan is accepted, Nasdaq can provide us an extension of up to 180 days from the date of notice to cure such listing deficiency. In connection with this offering, we agreed to enter into a warrant reprice transaction (the “Warrant Reprice Transaction”) with respect to warrants to purchase up to 5,808,538 shares of Class A Stock initially issued by the Company to the investor in this offering on November 9, 2023 (the “November 2023 Warrants”), which reprice transaction provides for changes to the terms of the November 2023 Warrants, including a reduction of the exercise price from $3.862 per share to $0.96 per share and an extension of the termination date of the November 2023 Warrants to five years following the date on which the Company receives stockholder approval with respect to the Warrant Reprice Transaction (the “Stockholder Approval”) or, if earlier, the date that is six months after the date the November 2023 Warrants were issued.

As part of the Warrant Reprice Transaction and pursuant to the terms of the Securities Purchase Agreement, the Company is required, among its other obligations, to hold an annual or special meeting of stockholders (the “Stockholder Meeting”) on or before the date that is ninety (90) days after the closing of the Offering to obtain Stockholder Approval. If the Stockholder Approval is not initially obtained at such Stockholder Meeting, then the Company will be required to call a Stockholder Meeting every sixty (60) days thereafter to seek the Stockholder Approval until the earlier of the date Stockholder Approval is achieved and the date that is six (6) months following the initial issuance of the November 2023 Warrants. If Stockholder Approval is not obtained by the date that is six (6) months following the initial date of issuance of the November 2023 Warrants, then (i) the exercise price of the November 2023 Warrants will automatically be reduced (if and only if such new exercise price on the repricing date is lower than the exercise price of the November 2023 Warrants then in effect) to be the Minimum Price (as defined in Nasdaq Listing Rule 5635(d)) of the Class A Stock on the date that is six (6) months following the initial date of issuance of the November 2023 Warrants, and (ii) the Termination Date (as defined in the November 2023 Warrants) shall automatically be amended to May 9, 2029.

A.G.P./Alliance Global Partners has agreed to act as our exclusive placement agent in connection with this offering, subject to the terms and conditions of the placement agency agreement dated January 12, 2024. The Placement Agent is not purchasing or selling any of the securities offered by this prospectus supplement, nor is it required to arrange the purchase or sale of any specific number or dollar amount of securities, but has agreed to use its reasonable best efforts to arrange for the sale of the securities offered hereby. We also entered into a securities purchase agreement directly with a single institutional investor for the purchase our securities in this offering.

Momentus is a U.S. commercial space company that plans to offer transportation and infrastructure services to help enable the commercialization of space. Satellite operators are our principal customers and target customers. Services that we plan to provide include “last mile” satellite transportation, payload-hosting, on-orbit satellite refueling, on-orbit inspection, on-orbit satellite maintenance, de-orbiting, debris removal, and other satellite-to-satellite service offerings.
